The Articles of Amendment must be filed with your state of incorporation or any other states where your company has obtained foreign business qualification to make a specific change to the information in your company's articles of incorporation or articles of organization. This document is sometimes called a "Certificate of Amendment.”
In order to keep your business in good standing with the Secretary of State, you must notify the state of relevant changes.
For operational reasons, the state needs to know to whom to send official correspondence and legal notices. Maintaining up-to-date information, including your Registered Agent, is essential for this reason.

When an LLC, C-Corp, S-Corp, or Nonprofit wishes to update or modify the following, it must submit Articles of Amendment with the Secretary of State.

Filing Articles of Amendment with the appropriate state office can take anywhere from one to two months. For Delaware, for instance, it takes more than twelve weeks to complete the procedure. On the other hand, in Texas, it takes five business days. Quicker processing is typically available for an additional fee in most states.

If your company's registered agent is affiliated with us, we'll send you a copy of the amended articles once they've been filed; otherwise, the Secretary of State (in whichever state your company is incorporated) will send a copy to the company's registered office.
